Terms and Conditions

1. Payment

   Unless otherwise stated, all payments shall be due upon receipt of invoice. On any amounts not paid when due, customer agrees to pay interest at the rate of 1-1/2% per month (18% per year) or, if such rate is in excess of the rate allowed by law, then the highest rate allowed by law. In addition, customer agrees to pay all costs of collection, including costs of litigation and reasonable attorney's fees. 4 All Memory reserves the right to obtain a security interest in the products sold to customer, and in proceeds thereof, until payment is made in full by customer. Customer agrees to execute financing statements and other instruments at 4 All Memory's request. A $20.00 collection fee will be charged for all dishonored checks.

2. Taxes

   Unless otherwise stated on the face hereof, stated prices do not include any customs duties, sales, use, value added, excise, federal, state, local or other taxes. All such duties or taxes shall be paid by customer, or, in lieu thereof, customer shall provide 4 All Memory with an appropriate tax exemption certificate.

3. Title and Risk of Loss

   Title to and risk of loss on all products passes from 4 All Memory to customer upon shipment from our facility. 4 All memory's liability for delivery shall cease, and title and all risk of loss or damage shall pass to customer upon delivery to carrier.

5. Return Procedures

   Customer must first obtain a Return Merchandise Authorization (RMA) number by calling us at 800-566-3727.

   A Return Merchandise Authorization (RMA) is required for returning or exchanging. RMA numbers are valid for 7 days from date of issuance. Please ensure that the RMA number is visible on your return packing label. Any return or exchange without the RMA number will NOT be accepted. 4 All Memory reserves the right to refuse any return due to expired RMA number, no RMA number on shipping label or incomplete items including anti-static packaging.

   For your protection, we recommend you fully insure your return shipment in case it is lost or damaged and use a carrier that can provide you with proof of delivery and tracking number. Recommended carriers include UPS and Federal Express. All items must be 100% complete and in "good as new" conditions. Returned item(s) must be enclosed in anti-static packaging.

   If product arrives damaged, save the product and the original packaging, notify 4 All Memory's Customer Service immediately to arrange for a carrier inspection and a pick-up of damaged merchandise.

   Shipping and insurance charges are not refundable. Even though we are currently running a "free shipping" promotion, items returned for a refund will have 4 All Memory.com's original shipping cost deducted from the amount of the refund. All items are eligible for a full refund, less shipping costs, unless stated in writing at time of sale. Refunds will only be credited to the same credit card.

6. Entire Agreement

   These terms and conditions, including those on the face hereof, constitute the entire agreement with regard to this sale and expressly supersede and replace any prior or contemporaneous agreements, whether written or oral, relating to said sale, including any terms and conditions on any of customer's documents or purchase orders. This agreement shall be binding upon the heirs, successors and assigns of the parties hereto. If any provision of this agreement shall be held to be invalid or unenforceable, the remainder of this agreement shall remain in full

7. Governing Law, Jurisdiction and Costs

   This agreement is governed by the laws of the State of Missouri, without regard to its conflict or choice of law provisions. Customer acknowledges and agrees that Missouri is an appropriate place for venue of any litigation and that Missouri courts have jurisdiction over this agreement and customer.

   Any dispute arising under this agreement shall be resolved by binding arbitration in the city of Missouri and under the rules of the American Arbitration Association.

8. Terms and Conditions

   This sale is subject to the terms and conditions stated herein, which are in lieu of and replace any and all terms and conditions set forth in any documents issued by customer, including, without limitation, purchase orders and specifications. In case of conflict between the terms and conditions stated here and those on the face hereof, those on the face hereof shall control. Any additional, different or conflicting terms and conditions on any such document issued by customer at any time are hereby objected to by 4 All Memory, and any such document shall be wholly inapplicable to any sale made hereunder and shall not be binding in any way on 4 All Memory.

9. International Taxes and Tariffs

   Our prices do not include taxes and tariffs. Customers outside of the United States may be required to pay these fees to the courier, as applicable, upon delivery. For example, Canadian customers will be assessed the 7% GST (Goods and Services Tax) or the appropriate HST (Harmonized Sales Tax) or PST (Provincial Sales Tax) when the order arrives. Please consult your local customs office or tax authority for information specific to your situation.

   If you decide for whatever reason not to accept delivery for an order you have placed, you will be charge for all applicable shipping, duties, tariffs, taxes, restocking, and/or handling fees associated with the merchandise being returned to our 9101 Harlan St, Unit 260 ?Westminster, CO 80031 USA location.
